These Terms of Service (“Terms”) govern the services provided by Bedford + Co LLC (“Bedford + Co,” “we,” “us,” or “our”) and your payment for those services. By engaging us for any service, or by accepting a proposal or paying an invoice, you agree to these Terms. Please read them carefully, as they explain what you are paying for and what happens if payment or services are discontinued.
Services and Fees
We offer both one-time project work and ongoing monthly services. One-time work includes website design and development. Ongoing monthly services include website management, hosting, AI and automation support, and SEO and growth campaigns. The pricing shown on our website represents general starting points. The exact services, scope, deliverables, and fees that apply to you will be set out in the proposal, quote, or invoice you receive and approve.
Billing and Payment
One-time projects are billed as described in the applicable proposal, which may require a deposit before work begins and the remaining balance upon completion. Ongoing monthly services are billed in advance and automatically renew each month until cancelled in accordance with these Terms. Invoices are due upon receipt unless a different due date is stated. By providing a payment method for a recurring service, you authorize us to charge that method on each billing cycle until the service is cancelled.
Website Management and Hosting
Websites enrolled in a management plan are hosted on infrastructure provided and maintained by Bedford + Co as part of that plan. Hosting, software updates, backups, monitoring, security, and support are all provided as part of an active, paid management plan. These services are continuous and depend on your plan remaining current. They are not one-time deliverables.
Late or Missed Payments
If payment for any service is not received by its due date, we may pause active work and withhold deliverables until your account is brought current. If a recurring payment remains unpaid for more than fifteen (15) days past its due date, we may suspend the associated services, including hosting. Continued non-payment may result in your website being taken offline and removed from our servers.
Discontinuing Services
You may cancel a recurring monthly service at any time by providing at least thirty (30) days written notice to hello@bedfordandco.net. Cancellation takes effect at the end of the current billing cycle. Fees already paid are non-refundable, and you remain responsible for any amounts owed for services rendered up to the effective date of cancellation.
What Happens When Services End
When a website management or hosting plan ends — whether by your cancellation, by our suspension for non-payment, or otherwise — the following applies:
- Hosting and all related services, including updates, backups, monitoring, security, and support, will stop.
- A website hosted on our infrastructure will be taken offline and will no longer be accessible to the public or to you.
- Provided your account is paid in full, we will, upon request, provide an export of your website files and database so that you may move your site to another host. Hands-on migration work beyond providing that export may be quoted and billed separately.
- Any website files or data stored solely on our servers may be permanently deleted after your account is closed. You are responsible for retaining your own copies.
- Domain names registered in your name remain your property and can be transferred to you, provided your account is current.
- We are not responsible for any loss of traffic, leads, search rankings, revenue, data, or business resulting from discontinued or suspended services.
Project Ownership
For one-time website projects, ownership of the final deliverables transfers to you upon receipt of payment in full. Until a project is fully paid, all work product remains the property of Bedford + Co. Third-party components used in your project — such as themes, plugins, fonts, and stock assets — remain subject to their own licenses.
SEO and Growth Services
SEO and growth services are ongoing and billed monthly. Search rankings, traffic, and results depend on many factors outside our control and are not guaranteed. If you discontinue these services, any progress, rankings, or visibility gained may decline over time, and we are not responsible for such decline.
Refunds
Recurring monthly fees and project deposits are non-refundable. Because monthly services are billed in advance for the upcoming cycle, cancelling does not entitle you to a refund of fees already paid for the current cycle.
Disclaimer and Limitation of Liability
Our services and website are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Bedford + Co LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to your use of, or discontinuation of, our services.
Changes to These Terms
We may revise these Terms from time to time at our sole discretion. Any changes will be posted on this page and are effective immediately upon posting. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the state in which Bedford + Co LLC is organized, without regard to its conflict of law provisions.
